Terms of Service

Effective date: December 1, 2025

These Terms of Service ("Terms") govern your use of GuildPass, operated by GuildPass LLC ("GuildPass," "Company," "we," "us," or "our"). By using our website, dashboard, bot, or services, you agree to these Terms.

1. Overview of the Service

GuildPass provides software-as-a-service (SaaS) tools enabling creators to:

  • Connect their Discord servers to Stripe
  • Automatically manage Discord roles based on subscription status
  • Allow members to gain or lose access to servers and roles based on active billing

GuildPass does not sell access to Discord servers; creators do. GuildPass is an automation tool only.

2. Eligibility

You must:

  • Be at least 18 years old
  • Have a valid Stripe account
  • Own or manage the Discord server you connect

3. Accounts & Access

Creators ("Customers") must:

  • Maintain secure login credentials
  • Ensure their Stripe and Discord connections remain authorized
  • Ensure compliance with Discord's Terms and Stripe's agreements

GuildPass reserves the right to suspend accounts for:

  • misuse
  • violation of these Terms
  • abusive or fraudulent activity
  • technical harm to the platform

4. Payments & Billing

4.1 For Creators (GuildPass customers)

Creators subscribe to GuildPass on a monthly or yearly basis. Payments are processed through Stripe.

4.2 For Members (end users of Creators)

Creators sell memberships independently. GuildPass does not:

  • process membership payments
  • issue refunds for creator products
  • control pricing or content

GuildPass only automates Discord access based on the creator's billing system.

5. Role Management

GuildPass will:

  • Add roles when Stripe billing is active
  • Remove roles when billing fails, expires, or is canceled
  • Sync Discord roles at defined intervals and on webhook events

Creators are responsible for:

  • Ensuring correct role mapping
  • Ensuring their Discord server is properly configured
  • Ensuring compliance with Discord community guidelines

GuildPass is not liable for:

  • Discord outages
  • API changes
  • Discord server deletions
  • Webhook failures related to Discord or Stripe

6. Acceptable Use Policy

You may not:

  • Use GuildPass for illegal or fraudulent activity
  • Circumvent billing or access controls
  • Exploit, reverse-engineer, or copy GuildPass systems
  • Use GuildPass to manage servers involving:
  • hate speech
  • harassment
  • violent extremism
  • sexual content involving minors
  • activities banned by Discord or Stripe

Violation may result in immediate termination.

7. Intellectual Property

All GuildPass software, code, branding, logos, product designs, website content, processes, and documentation are the exclusive property of GuildPass LLC.

Creators retain full ownership of their:

  • Discord servers
  • membership products
  • content
  • branding

8. Data & Security

GuildPass processes minimal data required to function, including:

  • Discord user IDs
  • Discord roles
  • Stripe customer IDs
  • Subscription status
  • Guild IDs
  • OAuth tokens (encrypted)

GuildPass never stores:

  • credit card numbers
  • full Discord tokens
  • passwords

GuildPass uses industry-standard encryption and follows Stripe and Discord security requirements.

9. Termination

Creators may cancel at any time.

GuildPass may terminate or suspend access if:

  • billing fails
  • fraud is detected
  • ToS violations occur
  • Discord/Stripe bans or suspensions impact service

Upon termination:

  • Automation stops
  • No further access to dashboards
  • Roles may be removed automatically

10. Disclaimers

GuildPass provides its services "as-is" and "as-available." We do not guarantee:

  • uninterrupted service
  • perfect API operation
  • integration uptime
  • Discord or Stripe availability
  • loss of access caused by 3rd-party outages

This is standard for SaaS integrations.

11. Limitation of Liability

To the fullest extent permitted by law:

  • GuildPass is not liable for lost revenue, lost access, or Discord moderation actions
  • GuildPass is not responsible for Stripe account terminations
  • GuildPass is not responsible for misuse of roles or Discord permissions

Total liability is limited to the fees paid to GuildPass in the preceding 3 months.

12. Governing Law

These Terms are governed by the laws of the State of Texas.

13. Changes

GuildPass may update these Terms. Continued use means acceptance of updated Terms.
